REPRESENTATIVE COMMITMENT FORM
RVP LICENSEE:
BASE SHOP REPRESENTATIVE:
The RVP Licensee named above has been granted the authority to permit members of the RVP Licensee’s base shop to use certain Intellectual Property owned by Leaders for Innovation and Change, LLC (“LFIC”), but only in accordance with the licensing agreement. The base shop representative named above agrees to abide by the following conditions and restrictions on the use of LFIC’s Intellectual Property, and to abide by any additional requirements that may be required by the RVP Licensee. The base shop representative acknowledges receipt of a copy of this commitment form.
1. LFIC’s Intellectual Property shall not be shared outside of the RVP Licensee’s base shop.
2. The base shop representative shall not edit or change LFIC’s Intellectual Property. Only the RVP Licensee is authorized to make minor changes as outlined in the licensing agreement.
3. LFIC’s Intellectual Property shall not be posted on any social media platform under any circumstance. LFIC’s Intellectual Property may only be shared individually.
4. The base shop representative promises to report any knowledge of any inappropriate use of LFIC’s Intellectual Property within 24 hours to the RVP Licensee.
5. The base shop representative shall not commercialize, or disclose the contents of this agreement.
6. The base shop representative shall make no copies of LFIC’s Intellectual Property.
7. The base shop representative will provide technological and security measures to ensure that LFIC’s Intellectual Property is physically and electronically secure from unauthorized use/access.
8. The base shop representative understands that unauthorized use of LFIC’s Intellectual Property can lead to liability for breach of contract, civil fines, and/or charges of criminal infringement.
9. The base shop representative promises to cease all use of LFIC’s Intellectual Property if the representative or the RVP Licensee resigns from, is terminated from, or becomes inactive in the Primerica business.
10. LFIC makes no express or implied warranties or representations as to the effects or value of the use of LFIC’s Intellectual Property. Further, LFIC makes no express or implied warranties or representations as to the compliance of LFIC’s Intellectual Property with any requirement of any governmental or quasi-governmental authority or with Primerica’s internal compliance policies.
